Item 8.01. Other Events.

On June 1, 2005, Arbitron Inc. (the "Company") announced the reversal of certain tax contingencies following an income tax audit. The net benefit of the change is $3.9 million. Taking into account this tax benefit, the Company expects that its 2005 net income will be approximately $4.0 million higher than previously anticipated.
