Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 30, 2008, the Board of Directors (the “Board”) of SenoRx, Inc. (the “Company”) unanimously approved an amendment to the Company’s Bylaws that, effective June 5, 2008, will reduce the authorized number of Board members from seven members to six.
