Item 8.01 Other Events 
 
On November 16, 2005, Vectren Corporation (the Company) announced the pricing of $150 million in senior unsecured notes in two tranches of $75 million each through its wholly-owned subsidiary, Vectren Utility Holdings, Inc., which provides financing for the company’s regulated operations. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

In connection with the "safe harbor" provisions of the Private Securities Litigation Reform Act of 1995, the Company is hereby furnishing cautionary statements identifying important factors that could cause actual results of the Company and its subsidiaries, including Vectren Utility Holdings, Inc., Indiana Gas Company, Inc., Southern Indiana Gas and Electric Company and Vectren Energy Delivery of Ohio, Inc., to differ materially from those projected in forward-looking statements of the Company and its subsidiaries made by, or on behalf of, the Company and its subsidiaries.
