There are no changes in the control of the Registrant.

There have been no acquisitions or disposition of assets.

ITEM 3.  BANKRUPTCY OR RECERVSHIP

The Company is not in bankruptcy or receivership.


ITEM 4.  CHANGES IN REGISTRANT'S CERTIFYING ACCOUNTANT

The Company has changed its Certifying Accountant from
Crouch, Bierwolf  to BDO Seidman LLP
for the annual audit ending December 2000.
BDO Seidman is located at 330 Madison Ave.,
New York, NY 10017.

The Company determined to change its accountants primarily
due to proximity to its corporate offices.

BDO Seidman was recommended by the Company's Board
of Directors, and Crouch, Bierwolf and the Company
mutually agreed that they would not stand for
re-election.  Crouch, Bierwolf resigned and agreed
not to stand for re-election on February 28, 2001.
BDO Siedman was engaged on March 2, 2001.

There are no disagreements, however Crouch, Bierwolf
stated based upon their audit an uncertainty as
to the the Company's continuing as a "going
concern" There are no modifications or disclaimers
or disagreements regarding the scope of the audit,
accounting principals required by Item 304(a)(1)(ii)
of Regulation B.

During the two most recent years and the interim
period through the present there have been
no reportable events.

There have been no resignations of the Directors

We have reviewed the 8 K dated, filed by Diabetex International and
 consent and agree with the disclosures made therein.  There are no
disagreements,  however,
we expressed our concern as to the certainty of the Company to continue as a
"going concern"  This qualified opinion as to their certainty of continued
operations is not a change or modification from prior opinion.

Further we note that there are no disagreements between us and
management of the Company, and that on or about February
28, 2001,  we  mutually agreed not to stand for re-election as the
Company's Independent Auditors.
