The Company is not in bankruptcy or receivership.


ITEM 4.  CHANGES IN REGISTRANT'S CERTIFYING ACCOUNTANT

The Company has changed its Certifying Accountant from
Crouch, Bierwolf  to BDO Seidman LLP
for the annual audit ending December 2000.
BDO Seidman is located at 330 Madison Ave.,
New York, NY 10017.

The Company determined to change its accountants primarily
due to proximity to its corporate offices.

BDO Seidman was recommended by the Company's Board
of Directors, and Crouch, Bierwolf and the Company
mutually agreed that they would not stand for
re-election.

There are no disagreements, nor any adverse opinions
in the prior audit.  Nor were there any qualified
or modifications as to uncertainty, audit scope
or accounting principals.

This is the Company's second audit, there are
no disagreements or reportable events
with the former accountant.

There have been no resignations of the Directors
