On June 25, 2008, Empagio Acquisition, LLC (“Empagio”) and SMB Capital Corporation (“SMB”) filed a lawsuit against Workstream Inc. (the “Company”) in the United States District Court for the District of Delaware (the “Federal Lawsuit”) alleging entitlement to a $3 million termination fee pursuant to the Agreement and Plan of Merger dated as of February 12, 2008 among the Company, Workstream Merger Sub Inc., Empagio and SMB, which agreement was terminated by the Company on June 13, 2008. Prior to commencement of the Federal Lawsuit, the Company initiated a lawsuit against Empagio and SMB in the Superior Court of Delaware in and for New Castle County (the “State Court Lawsuit”). On July 29, 2008, Empagio and SMB filed a notice of voluntary dismissal of their Federal Lawsuit based on an understanding that Empagio and SMB would make their claim as part of the Company’s State Court Lawsuit.
