As previously reported by Workstream Inc. (the “Company”), on January 12, 2009 McGladrey & Pullen, LLP resigned as the Company’s independent registered public accounting firm effective upon completion of McGladrey’s review of the Company’s consolidated financial statements for the three and six month periods ended November 30, 2008 and the filing of the Company’s Quarterly Report on Form 10-Q for the quarter ended November 30, 2008.  On March 5, 2009, the Company engaged Cross, Fernandez and Riley, LLP, an independent member of the BDO Seidman LLP Alliance network of firms, to be the Company’s independent registered public accounting firm as approved by the Company’s Board of Directors, on the advice of its Audit Committee.  During fiscal years 2007 and 2008 and the subsequent interim period, the Company has not consulted with Cross, Fernandez and Riley with respect to any of the matters or reportable events set forth in Item 304(a)(2) of Regulation S-K.
