On April 28, 2004, Progress Energy issued a Quarterly Report to Holders of Contingent Value Obligations for the Quarter Ended December 31, 2003 (the “CVO Report”). A copy of the CVO Report is being furnished as Exhibit 99.1. Exhibit 99.1 is incorporated by reference into this Item 9.
