Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 

On October 30, 2007, the Organization and Compensation Committee of the Board of Directors for Progress Energy, Inc. (the “Company”) took action to vest 30,513 restricted stock units that would otherwise have been forfeited upon the death of the Company’s former Chief Executive Officer, Robert B. McGehee, due to the units not having been held for more than one year at the time of Mr. McGehee’s death. Mr. McGehee died October 9, 2007, after suffering a stroke while on Company business in London.
