Item 8.01.  Other Matters

As of September 10, 2008, Peoples Bancorp of North Carolina, Inc. (the “Company”) does not own any common or preferred stock in Federal National Mortgage Association (“FNMA”) or Federal Home Loan Mortgage Corporation (“FHLMC”).  The Company does not own any bonds issued by FNMA or FHLMC either.  The Company does own mortgage-backed securities (“MBS”) issued by FNMA and FHLMC.  These securities are collateralized by the underlying mortgage loans and the value of these MBS are not expected to be adversely impacted by the United States Treasury’s actions with regards to FNMA and FHLMC.
