        <footnote id="F1">On October 27, 2005, Mr. Koppelman was granted an option to purchase 200,000 shares of common stock and 75,000 shares of restricted stock.  The option and the stock vest based on the satisfaction of certain performance criteria set forth in a Consulting Agreement between Mr. Koppelman and the Issuer.  Based on a determination of its Compensation Committee that certain performance criteria had been met, resulting in the vesting of the option as to 5,881 shares and the vesting of 2,206 shares of restricted stock, on August 1, 2007 the Company effected the transfer of the shares and the vesting of the option.</footnote>
        <footnote id="F2">On October 27, 2005, Mr. Koppelman was granted an option to purchase 200,000 shares of common stock.  The option vests based on the satisfaction of certain performance criteria set forth in a Consulting Agreement between Mr. Koppelman and the Issuer.  The Compensation Committee has determined that certain performance criteria have been met and as a result the option has vested and became exercisable with respect to 75,836 shares.</footnote>
