Subsidiary Notes Offering

On March 18, 2013, Harbinger Group Inc. (“HGI”) announced the intent of its wholly-owned subsidiary, Fidelity & Guaranty Life Holdings, Inc., to offer $300.0 million aggregate principal amount of senior notes in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and certain persons in offshore transactions pursuant to Regulation S under the Securities Act. The senior notes being offered have not been and will not be registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act. This Report on Form 8-K does not constitute an offer to sell or the solicitation of an offer to buy any security and shall not constitute an offer, solicitation or sale of any security in any jurisdiction in which such offering, solicitation or sale would be unlawful.

Harbinger Group Inc. Announces Debt Offering by Fidelity & Guaranty Life Holdings, Inc.

NEW YORK- March 18, 2013—Harbinger Group Inc. (“HGI”; NYSE: HRG), announced today that its wholly-owned subsidiary, Fidelity & Guaranty Life Holdings, Inc. (“FGL”), is offering $300 million aggregate principal amount of senior notes due 2021. FGL expects to use the net proceeds from the issuance of the notes for general corporate purposes and to support the growth of its subsidiary life insurance company and to pay a dividend to HGI.

The offering will be made solely by means of a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), or to certain persons in offshore transactions pursuant to Regulation S under the Securities Act.
