Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On December 20, 2013, Robin Roger resigned from her position as a director of Harbinger Group Inc. and its subsidiaries (the “Company”) in order to pursue other endeavors.  Ms. Roger did not resign due to any disagreement with the Company.
