Item 7.01   Regulation FD Disclosure.
 
On September 26, 2011, Harbinger Group Inc.’s majority-owned operating subsidiary, Spectrum Brands Holdings, Inc., issued a press release announcing a $50 million voluntary prepayment of its senior secured term loan.  Following this prepayment and scheduled amortization, the balance outstanding will be $525 million at fiscal 2011 year-end on September 30, 2011.
