Item 1.01.    Entry into a Material Definitive Agreement
 
On January 17, 2012, Pacer International, Inc. ("Pacer") purchased 248 railcars from General Electric Railcar Services Corporation ("GERS") for $26.5 million pursuant to the purchase option under the Rail Car Lease Agreement dated September, 2001.
