     We have examined the Registration Statement (the “Registration Statement”) on Form S-1 (Registration No. 333-128838), originally filed on October 5, 2005 with the Securities and Exchange Commission (the “Commission”) under the Securities Act of 1933, as amended (the “Securities Act”) and Amendment No. 1 thereto, filed with the Commission on November 14, 2005, of Charter Communications, Inc., a Delaware corporation (the “Company”), in connection with the offering by the Company of 122,830,000 shares (the “Underwritten Securities”) of the Company’s Class A common stock, par value $0.001 per share.
