ITEM 5.02  DEPARTURE OF DIRECTOR OR PRINCIPAL OFFICER

Larry Bach is medically unable to perform his duties as Acting Chairman of the
Board and was replaced by James B. Terrell at a meeting of the Board of
Directors.
