ITEM 5 OTHER EVENTS.

On August 20, 2002, the Board of Directors of 21st Century Technologies Inc.
elected Kevin Romney of Mansfield, Texas and Larry B. Bach of Agoura Hills,
California to be members of the Board of Directors, to serve the remainder of
the terms of James Mydlach and Richard Grob. Directors Romney and Bach accepted
their elections immediately.
