HUNTSMAN PRICES $400 MILLION PRIVATE OFFERING OF SENIOR NOTES

 

THE WOODLANDS, Texas, November 2, 2012 — Huntsman Corporation (NYSE: HUN) today announced that it has priced a $400 million offering of senior notes due 2020 through its wholly owned subsidiary, Huntsman International LLC. The notes will carry an interest rate of 4.875% and will mature on November 15, 2020.  The closing of the offering is expected to occur on November 19, 2012, subject to the satisfaction of customary closing conditions. Huntsman intends to use the net proceeds to redeem $400 million in aggregate principal amount of its 5 1/2% Senior Notes due 2016 and to pay associated accrued interest.

 

The notes to be offered have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws; and unless so registered, the notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The notes will be offered only to qualified institutional buyers in accordance with Rule 144A and outside the United States in accordance with Regulation S.
