        <footnote id="F2">The reporting person was issued 40,000 stock options on November 28, 2001.  These options vest in equal installments on the first four anniversaries of the date of issuance of such options provided the reporting person continues to serve as an employee on such dates.  As of April 12, 2004, all 20,000 exercisable options under this grant have been exercised.</footnote>
        <footnote id="F3">The reporting person was issued 75,000 replacement options on December 2, 2002 pursuant to an exchange offer conducted by the issuer. Under the terms of the exchange offer (taking into account the vesting schedule for the options surrendered by the reporting person), fifty percent of the replacement options issued were vested and exercisable upon issuance and the remainder were scheduled to vest in equal installments on December 2, 2003 and December 2, 2004 provided the reporting person continues to serve as an employee on such dates.  As of April 12, 2004, 8,582 of the 56,250 vested options under this grant have been exercised.</footnote>
