ITEM 1.01. Entry into a Material Definitive Agreement.

On February 28, 2006, we entered into a sixth amendment to our vendor agreement with Best Buy Purchasing LLC, the assignee of Best Buy Co., Inc. The amendment is effective as of March 1, 2006 and extends our vendor agreement with Best Buy Purchasing LLC through February 28, 2007.

The foregoing description of our sixth amendment to our vendor agreement with Best Buy Purchasing LLC is qualified in its entirety by reference to the provisions of the agreement that will be filed as an exhibit with the Company’s Form 10-K for the year ended January 31, 2006.
