          The following information is furnished pursuant to Item 2.02, “Results of Operations and Financial Condition,” and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.

          On June 30, 2008, the management of Mad Catz Interactive, Inc. conducted a conference call at approximately 5:00 p.m., Eastern Time, to review the Company’s financial results for its fourth quarter and fiscal year ended March 31, 2008. A transcript of the conference call is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

          During the June 30, 2008 conference call, the Company inadvertently stated that Mad Catz specific sales declined for the full 2008 fiscal year by approximately 12%. The actual decline in Mad Catz specific sales was 25% for fiscal 2008. All other financial information discussed during the call was correct
