Item 1.01 Entry into a Material Definitive Agreement.

On March 26, 2007, Sun New Media (the “Registrant”) entered into an agreement with the Susquehanna Financial Group LLC (“SFG”) to retain its services for general financial advisory.

According to the terms of agreement, SFG will advise the Registrant on strategic financing issues. It will also serve as the Registrant’s exclusive placement agent should the Registrant decide to pursue additional fundraising in the future.

The Registrant intends to leverage SFG’s financial advisory services as part of the Registrant’s efforts to achieve a main board listing on NASDAQ or another US main board.
