Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On February 26, 2007, Sun New Media, Inc. (the “Registrant”) announced the appointment of Mr. “William” Ren Huiliang to serve as a member of the Registrant’s Board of Directors. Mr. Ren’s appointment became effective on February 26, 2007.

Mr. Ren’s status is not independent due to his position as Chief Executive Officer of William Brand Administer Co. Ltd, a wholly-owned subsidiary of the Registrant.

On February 28, 2007, Ms. Hwee Ling Ng, the Senior Vice President, Finance and Chief Accounting Officer resigned. Mr. Jeffrey Li will assume the duties of Chief Accounting Officer in addition to his role as Chief Financial Officer from April 1, 2007.
