"Litigation" in Registrant's Quarterly Report on Form 10-Q for the Quarter Ended September 30, 2001 regarding the shareholder derivative action commenced in the Supreme Court of the State of New York against certain current and former members of Registrant's Board of Directors concerning compensation awarded to Registrant's former Chief Executive Officer, G. Richard Thoman. On January 28, 2002 the court granted the defendants' motion to dismiss the complaint, dismissing the case in its entirety.
