     On  May  13,  2004,  at  9:00  a.m.  ET,  AirGate  PCS,  Inc.,  a  Delaware
corporation,  held a  conference  call to discuss its  financial  and  operating
results  for the second  quarter and first six months of fiscal 2004 ended March
31, 2004.  A copy of the script of that call is attached  hereto as exhibit 99.1
and is incorporated herein by reference.
