FINAL AMENDMENT TO TENDER OFFER

This Tender Offer Statement on Schedule TO relates to the offer (the “Offer”) by MPF Badger Acquisition Co., LLC; MPF DeWaay Fund 5, LLC; Sutter Opportunity Fund 3, LLC; MP Value Fund 7, LLC; Sutter Opportunity Fund 4, LLC. (collectively the “Purchasers”) to purchase up to 400,000 Shares of common stock (the “Shares”)  in BellaVista Capital, Inc. (the “Corporation”), the subject company, at a purchase price equal to $1 per Share, less the amount of any distributions declared or made with respect to the Shares between August 1, 2008 (the “Offer Date”) and September 8, 2008 (the “Expiration Date”), upon the terms and subject to the conditions set forth in the Offer to Purchase dated August 1, 2008 (the “Offer to Purchase”) and the related Letter of Transmittal.

The Offer resulted in the tender by shareholders, and acceptance for payment by the Purchasers, of a total of 20,424 Shares. Upon completion of the Offer, the Purchasers held an aggregate of approximately 1,388,046 shares, or approximately 11.75% of the total outstanding shares.  These shares were allocated among the Purchasers as follows:

MPF DEWAAY FUND 5, LLC - 12,969 SHARES

MP VALUE FUND 7, LLC - 7,455 SHARES
