PART III –  NARRATIVE


The Company is unable to file the Form 10-K for the period ended December 31, 2010 within the prescribed time period due to the departure of its Chief Financial Officer and its recent change of independent public registered accounting firms.  These changes have resulted in difficulty completing financial and other information required for the annual report without unreasonable effort and expense.
