Colleagues,

In a few minutes, Perficient will be issuing a press release announcing we have entered into a definitive agreement to be acquired by EQT. I wanted you all to hear this news directly from me first.

Perficient’s Board of Directors has approved the sale of Perficient to EQT, a purpose-driven global investment organization. As a result, Perficient will become a private company later this year and will no longer be publicly traded on the NASDAQ. This was an intentional, strategic decision for the future of our organization, and is good news for Perficient. This begins an exciting new chapter that would not have been possible without our employees’ hard work and dedication to our clients, partners and other stakeholders.

Perficient is a people business and EQT understands our value is embodied by the skill and talent of our employees. So for our colleagues, it will be business as usual.

Today’s announcement is an amazing testament to our teams of skilled strategists and technologists who’ve made Perficient a formidable force in the market.

EQT is acquiring Perficient because they believe in our company and our global growth journey. With this transaction, we can now focus exclusively on executing our long-term growth strategy and are better positioned as we continue to support our clients in exceeding expectations, outpacing the competition, and growing their businesses without the significant time associated with being a public company.

I know you have questions, and I intend to answer as many of them as I can.
