(b)           On April 9, 2012, Edward L. Glotzbach notified Perficient, Inc. (the “Company”) that he does not intend to stand for reelection as a director at the Company’s 2012 Annual Meeting of Stockholders.  Mr. Glotzbach’s decision not to stand for reelection was a personal decision. The Company is grateful for Mr. Glotzbach’s diligent service and valuable contributions to the Company during his tenure as a director.
