The registrant had received accounting comments on its Form 10-SB from the
Commission which registrant's accountants were unable to clarify with the
Commission until today. These comments included the type of accounting treatment
to be used for a prior acquisition. These comments could not be clarified in
time to complete the audited financial statements to be included in the report
by its due date.
