Item 8.01. Other Events.
On November 1, 2019, a majority of the assets of the Engineered Cabs segment of Worthington Industries, Inc. (the “Company”), including its facilities located in Greeneville, Tennessee and Watertown, South Dakota, were acquired by an affiliate (the “AEP Affiliate”) of Angeles Equity Partners, LLC, a private investment firm. The AEP Affiliate simultaneously acquired Crenlo Cab Products, LLC, Emcor Enclosures, LLC and IES do Brasil Soluções em Equipamentos Ltda. from an affiliate of KPS Capital Partners, LP, and intends to combine all of the businesses. The Company has retained a minority ownership position in the AEP Affiliate.
