Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 9, 2010, R. Jay Tejera notified Pacific Continental Corporation (the “Company”) that he was resigning from its board of directors and the board of Pacific Continental Bank, the Company’s banking subsidiary, effective February 9, 2010.  Mr. Tejera has served on both boards since September 19, 2006.
