ITEM 8.01 OTHER EVENTS

On June 22, 2017, j2 Global, Inc. (the “Company”) and its subsidiary j2 Cloud Services, LLC (“j2 Cloud”) issued a press release announcing the pricing of an offering of $650 million aggregate principal amount of senior unsecured notes due 2025 (the “Notes”) by j2 Cloud and j2 Cloud Co-Obligor, Inc., upsized from the $550 million previously announced. The offering and sale of the Notes was made through a private placement to persons reasonably believed to be qualified institutional buyers in an unregistered offering pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Act”), and to certain non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Act. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.
