Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Effective August 1, 2006, Wang Wen Hua resigned as a Financial Controller of Sunrise Real Estate Group, Inc. (the “Company”) and was appointed as a Vice General Manager of the Company.
Effective August 1, 2006, Wang Wen Yan was appointed as a Financial Controller of the Company.

Wang; Wen Yan is 28 years old and has been vice financial manager of Sunrise Real Estate Group, Inc. since May 2005. He worked in a real estate development company for 4 years before joining the Company. He graduated from Shanghai University with a Bachelor’s degree in accounting. He is currently enrolled in a Master of Professional Accounting course at the Shanghai University of Finance and Economics. He is a member of the Institute of Management Accountants.
