The subject report will change from the same period for the last fiscal year in that the Company is no longer a shell Company but rather an operating business.  The subject quarterly report is not expected to significantly change from the quarterly report for the period ended December 31, 2010 as reflected in the S-1/A filed with the Commission on April 9, 2010.
