Item 7.01. Regulation FD Disclosure.

Openwave Systems, Inc. (the “Company”) announced that it has received subpoenas from the United States Attorneys for the Northern District of California and for the Southern District of New York requesting documents relating to the Company’s historical stock option practices. As disclosed on May 22, 2006, the Company had previously received an informal request from the Securities and Exchange Commission for information on stock option grants and practices. The Company intends to cooperate fully with the U.S. Attorneys’ offices.
