CFM CORPORATION ANNOUNCES
US$125 MILLION DEBT ISSUE
MISSISSAUGA
, ONTARIO - September 15, 2003- CFM Corporation ("CFM") announced today that it has successfully completed the sale of US$125 million principal amount of senior unsecured notes. The notes will be issued in two series with 10-year bullet maturities. The first series of US$60 million of notes was funded and issued today and a second series of US$65 million of notes will be funded and issued on November 21, 2003. The fixed coupon rate on the senior notes is 6.10%. The senior notes were sold to institutional investors in a private placement offering exempt from the registration requirements of the United States Securities Act of 1933 or the prospectus requirements under Canadian securities law. The notes will not be registered under the U.S. Securities Act of 1933 or any state securities laws and may not be offered or sold in the United States absent an exemption from, or in a transaction not subject to, the registration requirements of the U.S. Securities Act of 1933 and any applicable state securities laws.CFM will use the net proceeds of the offering of senior notes to repay debt under its existing credit facilities and for general corporate purposes.

"We believe that with interest rates near historically low levels, the issue of the senior notes will provide CFM long-term, cost-effective funds to finance the growth of its business."
Deutsche Bank Securities acted as sole advisor and placement agent for the sale of the senior notes.
