Item 5.02 Departure of Principal Officers; Election of Directors; Appointment of Principal Officers.
 
At its meeting on October 26, 2004, the Board of Directors of the Company elected Richard J. Pinola as a director of the Company. Mr. Pinola is currently Chief Executive Officer of Right Management Consultants, a wholly-owned subsidiary of Manpower, Inc. (NYSE: MAN). Mr. Pinola was not selected as a director pursuant to any arrangement or understanding between him and any other person, and there are no related party transactions between him and the Company. The Board of Directors has determined that Mr. Pinola is an independent director, and meets the requirements for audit committee membership under applicable NASD Rules. Mr. Pinola will initially serve as Chairman of the Audit Committee of the Board of Directors. A copy of the Company’s press release announcing the election of Mr. Pinola is attached hereto as Exhibit 99.2 and is incorporated herein by reference.

Total revenue for the nine months ended September 30, 2004 of $29.9 million was up $2.3 million, or 8%, over the $27.6 million reported in the first nine months of 2003. Online publishing revenue of $25.8 million for the first nine months of 2004 was $2.2 million, or 9%, better than the $23.6 million reported in the same period in 2003. Net income for the quarter ended September 30, 2004 was $2.4 million, or $0.15 per share on a diluted basis, excluding a one-time legal settlement charge of $390,000, compared to $2.4 million, or $0.16 per share on a diluted basis, in the same quarter in 2003. Net income for the quarter ended September 30, 2004 including the $390,000 legal settlement charge was $2.1 million, or $0.13 per share on a diluted basis. Net income for the nine months ended September 30, 2004 was $7.2 million, or $0.45 per share on a diluted basis, excluding a one-time legal settlement charge of $390,000, and a one-time severance charge of $260,000, compared to $7.0 million, or $0.46 per share on a diluted basis, for the same period in 2003.
