The Registrant has been unable to complete preparation of its Form 10-KSB for
the fiscal year ended December 31, 2005 due to delays in gathering information
required to complete the preparation of certain financial and business
statements to be contained in the Form 10-KSB, due in part to the Registrant's
recent acquisition of  Excel Empire Ltd., a British Virgin Islands corporation.
The Registrant believes that it will file its Form 10-KSB for the fiscal year
ended December 31, 2005 on or before the fifteenth calendar day following the
prescribed due date.
