Item 8.01.   Other Events.

 

On November 21, 2019, the Board of Directors of Newgioco Group, Inc. (the “Company”) approved a reverse stock split of the Company’s issued and outstanding shares of common stock, par value $0.0001 per share (the “Common Stock”), at the ratio of one (1) share of Common Stock for every eight (8) shares of Common Stock (the “Reverse Stock Split”), with an effective date of December 12, 2019. The Reverse Stock Split was approved by holders of 62.7% of the total issued and outstanding shares of voting stock of the Company on September 23, 2019.
