Introductory Note

As previously disclosed, TheStreet, Inc., a Delaware corporation (the “Company”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with TheMaven, Inc., a Delaware corporation (“Parent”), and TST Acquisition Co., Inc., a Delaware corporation and an indirect wholly owned subsidiary of Parent (“Merger Sub”). Pursuant to the Merger Agreement, on August 7, 2019, the Company merged with and into Merger Sub with the Company surviving the Merger as an indirect wholly owned subsidiary of Parent (the “Merger”).

Item 1.02 Termination of a Material Definitive Agreement.

 

James Cramer Employment Agreement

 

The Employment Agreement between James Cramer and the TheStreet, dated November 8, 2017, was terminated effective upon consummation of the Merger.
