On September 6, 2007, Theravance, Inc. issued a press release announcing that GlaxoSmithKline plc elected not to exercise its option to license Theravance's Gastrointestinal Motility Dysfunction program under the terms of the companies' 2004 Strategic Alliance Agreement and that Astellas Pharma Inc. elected not to exercise its option to license compound TD-1792 under the terms of the companies' 2005 License, Development, and Commercialization Agreement. Theravance retains all rights to develop and commercialize both programs. A copy of the press release is filed as Exhibit 99.1 to this report and is incorporated herein by reference.
