Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 4, 2013, Suketu Upadhyay, the Senior Vice President – Finance of Becton, Dickinson and Company (“BD”) and BD’s principal accounting officer, informed BD that he is resigning from BD, effective September 20, 2013, in order to assume a position at another public company. Upon the effectiveness of Mr. Upadhyay’s resignation, Christopher R. Reidy, BD’s Chief Financial Officer and Executive Vice President of Administration, will become BD’s principal accounting officer in addition to his role as BD’s principal financial officer.
