NORTHCORE COMMENTS ON DELISTING REVIEW INITIATED

BY TORONTO STOCK EXCHANGE

Toronto, Ontario – December 2, 2011 – Northcore Technologies Inc. (TSX: NTI; OTCBB: NTLNF), a global provider of asset management and social commerce solutions, announced today that the Toronto Stock Exchange (“TSX”) has informed Northcore that it has commenced a remedial review process with respect to continued listing of its securities on the TSX.

It is Northcore's intent to work closely with the TSX throughout the process to ensure that the best interests of the shareholders are respected.  Management will continue to focus on execution against strategic goals and the continuation of the important, sequential progress made since the beginning of the current fiscal year.
