Item 8.01. Other Events.

The registrant is delinquent in its filing of its Annual Report on Form 10-KSB for the fiscal year ended December 31, 2006. The Annual Report on Form 10-KSB for the fiscal year ended December 31, 2006, was the first Annual Report on Form 10-KSB that the registrant was required to file since the closing of the reverse acquisition on September 27, 2006. The time and effort required to comply with both U.S. generally accepted accounting principles as well as U.S. Securities and Exchange Commission requirements was underestimated by the registrant. The registrant anticipates filing the Annual Report on Form 10-KSB on or before May 18, 2007. The registrant now believes it has taken the necessary steps to enable it to prepare and file on a timely basis its required financial reporting and other reports under applicable rules and regulations.
