Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this registration statement also covers any additional shares of the Registrant’s common stock that become issuable under the 2014 Aerohive Plan by reason of any stock dividend, stock split, recapitalization or similar transaction effected without the Registrant’s receipt of consideration which would increase the number of outstanding shares of common stock.

EXPLANATORY NOTE

On June 26, 2019, Aerohive Networks, Inc. (“Aerohive”), the Registrant and Clover Merger Sub, Inc. (“Purchaser”), entered into an Agreement and Plan of Merger (the “Merger Agreement”). Pursuant to the Merger Agreement, at the Effective Time (as defined in the Merger Agreement) (the “Effective Time”), Purchaser merged with and into Aerohive, and Aerohive continued as the surviving corporation and as a wholly-owned subsidiary of the Registrant (the “Merger”). In connection with the Merger and subject to the terms of the Merger Agreement, at the Effective Time, among other things, the Registrant assumed outstanding and unvested restricted stock units of Aerohive issued under the 2014 Aerohive Plan that converted into restricted stock units covering 2,053,732 shares of the Registrant’s common stock.

The Registrant’s Amended and Restated Certificate of Incorporation provides that a director of the Registrant shall not be personally liable to the Registrant or its stockholders for monetary damages for breach of fiduciary duty as a director, except for liability (i) for any breach of the director’s duty of loyalty to the Registrant or its stockholders, (ii) for acts or omissions not in good faith or which involved intentional misconduct or a knowing violation of law, (iii) under Section 174 of the Delaware General Corporation Law, or (iv) for any transaction from which the director derived an improper personal benefit. The Registrant has also entered into agreements with its directors and officers that will require the Registrant, among other things, to indemnify them against liabilities that may arise by reason of their status or service as directors to the fullest extent not prohibited by law.
