     The Company is currently negotiating with its lenders to extend its credit agreement, due December 31, 2002, which could impact the financial statements and opinion that the independent accountants would render. The Company is unable to complete the negotiations without undue effort and expense by the time that our Form 10K for the year ended September 30, 2002 is due. The Company expects to complete the negotiations before the expiration date of this extension and will promptly file our Form 10K.
