We are filing this Form 12b-25 because we are unable to complete the preparation, review and filing of the our annual report on Form 10-K by June 29, 2011 without unreasonable effort or expense.

Remedent, Inc.  (the “Company”) anticipates on reporting an increase of approximately 58% in revenue during year ended March 31, 2011 compared to March 31, 2010.   The Company anticipates on reporting a decrease of approximately 54% in net loss attributable to stockholders for the year ended March 31, 2011 compared to March 31, 2010.  The Company anticipates on reporting that its net income for year ended March 31, 2011 was negatively impacted by (i) a provision of $750,000 for an investment relating to Soca Networks Singapore, and (ii) write off costs of approximately $60,000 relating to patents and royalty for two teeth whitening patents and the Universal Applicator Patent.

This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the General Rules and Regulations under the Securities Exchange Act of 1934.

One signed original and four conformed copies of this form and amendments thereto must be completed and filed with the Securities and Exchange Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the General Rules and Regulations under the Act. The information contained in or filed with the form will be made a matter of public record in the Commission files.

A manually signed copy of the form and amendments thereto shall be filed with each national securities exchange on which any class of securities of the registrant is registered.
