Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

LookSmart’s board of directors appointed Jean-Yves Dexmier as a member of the board on April 5, 2007 and the Chair of its Audit Committee. Mr. Dexmier’s initial term as a director will be until the earlier of his resignation, termination, or the annual shareholder meeting in 2009. Mr. Dexmier’s appointment fills the vacancy on the board of directors created by the resignation of Gary A. Wetsel effective November 15, 2006. Mr. Dexmier’s appointment brings the total number of directors of the Company to seven.

Mr. Dexmier served as Chief Executive and Chair of the Board of Agentis Software from 2001 to 2005. He served as Chief Executive Officer, President and Chief Financial Officer of Informix Software from 1997 to 2000. Mr. Dexmier also served as the Chief Financial Officer of Octel Corporation from 1995 to 1997. From 1994 to 1995 he served as Chief Financial Officer of Air Liquide Americas and from 1991 to 1994 he served as Chief Financial Officer of Thomson Consumer Electronics U.S.
